Medico Talent – Terms of Use


Effective Date: 27 January 2024

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Griffin Consulting Services Inc., a corporation incorporated under the laws of Canada ("Griffin Consulting," "Company," "we," "us," or "our"), governing your access to and use of the Medico Talent website, mobile applications, dashboards, and related services (collectively, the "Platform").

By accessing, registering with, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must immediately discontinue use of the Platform.


1. Eligibility and Authority

You represent and warrant that:

You are at least eighteen (18) years of age;

You have the legal capacity and authority to enter into this agreement;

If acting on behalf of an entity, you are duly authorized to bind such entity to these Terms.


2. Nature and Scope of Services

Medico Talent operates as an online employment marketplace facilitating connections between healthcare employers and job seekers. The Company is not an employer, recruitment agency, staffing firm, or agent of any User.

The Company does not:

Verify job postings, employers, or candidates;

Guarantee employment outcomes, candidate suitability, or hiring decisions;

Participate in or control communications, interviews, offers, or employment relationships.

All employment-related decisions are made solely by Users.


3. Account Registration and Security

To access certain features, Users must create an account. You agree to:

Provide accurate, complete, and current information;

Promptly update information as necessary;

Maintain the confidentiality of login credentials.

You are solely responsible for all activities conducted through your account. The Company may suspend or terminate accounts at its sole discretion.


4. Acceptable Use and Prohibited Conduct

You agree not to:

Violate any applicable law, regulation, or third-party right;

Post false, misleading, discriminatory, or unlawful content;

Infringe intellectual property, privacy, or contractual rights;

Upload malware, viruses, bots, scrapers, or automated systems;

Interfere with the integrity or performance of the Platform;

Use the Platform for unsolicited advertising or spam.

The Company reserves the right to remove content and restrict access without notice.



5. User Content and License Grant

"User Content" includes resumes, job postings, messages, documents, and other materials submitted to the Platform. You retain ownership of your User Content.

By submitting User Content, you grant Griffin Consulting a worldwide, non-exclusive, perpetual, royalty-free, sublicensable license to host, store, use, reproduce, modify, display, distribute, and create derivative works solely for operating, improving, marketing, and administering the Platform.

You represent and warrant that you possess all rights necessary to grant this license.


6. Employer Obligations

Employers are solely responsible for:

Ensuring job postings are accurate, lawful, and non-discriminatory;

Complying with employment, labor, immigration, and data protection laws;

Conducting background checks, credential verification, and hiring decisions.

The Company disclaims all liability arising from employer actions or omissions.


7. Job Seeker Obligations

Job seekers are responsible for the accuracy and legality of all submitted information. Submission of an application does not guarantee interviews, responses, or employment offers.


8. Fees, Payments, and Taxes

Certain features may require payment. All fees are disclosed prior to purchase and are non-refundable unless expressly stated otherwise in writing. You are responsible for all applicable taxes.

The Company reserves the right to modify pricing at any time.


9. Third-Party Services and Links

The Platform may contain links to third-party websites or services. The Company does not endorse or control third parties and is not responsible for their content, terms, or practices. Use of third-party services is at your own risk.


10. Intellectual Property Rights

All Platform content, software, trademarks, logos, and design elements are owned by or licensed to Griffin Consulting and protected by applicable intellectual property laws. No rights are granted except as expressly set forth herein.


11. Privacy and Data Protection

Personal data is processed in accordance with the Company’s Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to such processing.


12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRIFFIN CONSULTING BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO USE OF THE PLATFORM.


14. Indemnification

You agree to indemnify, defend, and hold harmless Griffin Consulting and its directors, officers, employees, and affiliates from any claims, damages, liabilities, losses, and expenses arising from your use of the Platform or violation of these Terms.


15. Suspension and Termination

The Company may suspend or terminate access to the Platform at any time, with or without notice, for any violation of these Terms or to protect the Platform or Users.


16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes shall be finally settled by binding arbitration, except where prohibited by law.


17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to conflict-of-law principles. Subject to arbitration provisions, courts located in Canada shall have exclusive jurisdiction.


18. Severability and Waiver

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right shall not constitute a waiver.


19. Assignment

You may not assign these Terms without prior written consent. The Company may assign these Terms without restriction.


20. Entire Agreement

These Terms constitute the entire agreement between you and Griffin Consulting regarding use of the Platform and supersede all prior agreements or understandings.
